1. Scope of Services
DataNet Plus Ltd (“we”, “our”, “us”) provides IT consulting, managed services, infrastructure support, cloud solutions, networking, cyber security, and related services (“Services”).
2. Use of Website
- This website provides information only.
- Any service engagement requires a signed written agreement or statement of work.
- You agree not to use this site for unlawful purposes or to infringe the rights of others.
3. Service Agreements
- All Services are subject to a separate written agreement.
- Quotes are valid for 30 days unless otherwise stated.
- We reserve the right to decline projects that are outside our expertise or conflict with legal/ethical standards.
4. Fees & Payment
- Fees are payable as agreed in writing (e.g. hourly, daily, or fixed price).
- Payment terms are 30 days from invoice date unless otherwise agreed.
- Late payments may accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Intellectual Property
We retain ownership of pre-existing intellectual property (including methodologies, scripts, and tools). Deliverables created specifically for you under contract will transfer upon full payment, unless agreed otherwise.
6. Confidentiality
Both parties shall keep confidential any proprietary or personal information shared in the course of business. Confidentiality obligations survive termination.
7. Data Protection
We comply with the UK GDPR and Data Protection Act 2018. Where Services involve processing personal data on your behalf, a separate Data Processing Agreement (DPA) will be provided.
8. Limitation of Liability
Nothing excludes liability for death or personal injury caused by negligence, fraud, or any matter where liability cannot be excluded by law.
Our total liability in contract, tort, or otherwise shall not exceed the total fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, incidental, or consequential losses (e.g. loss of profits, data, or business interruption).
9. Termination
Either party may terminate Services with 30 days’ written notice unless otherwise agreed in contract. We may terminate immediately if you materially breach these Terms or a service agreement.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
